El pasado viernes tuve la fortuna de asistir a la presentación de The Oxford Handbook of Corporate Law and Governance, una obra colectiva esencial, probablemente la más importante de este siglo en la materia. Simplemente viendo el índice de temas y los autores correspondientes nos hacemos una idea de la trascendencia de esta obra.

La presentación del libro estuvo a la altura de su contenido, con unas presentaciones y réplicas profundas y afiladas y debates repletos de ideas, un montón de ideas apretadas que fueron surgiendo durante toda la jornada con intervenciones tan sugerentes y brillantes como los propios títulos apuntan, el ya conocido From Corporate Law to Corporate Governance de Ronald Gilson o The Future of the Corporation  de Colin Mayer o el cierre final coral, Convergence and Persistence in Corporate Law – Globalisation, cross-border integration (EU) & disintegration (Brexit) .

El Corporate Governance se ha convertido en la pieza y motor esencial del derecho de sociedades en todo el mundo y esos problemas se comparten de manera universal. Con particularidades (pienso ahora mismo por ejemplo en las propias del caso español), con diferencias notables derivadas de la propia estrucutra de los mercados, con problemas de diseño general y de encontrar una explicación de las diferencias en el resultado ante soluciones idénticas. Las dudas acerca de si las preguntas que se hacen son las correctas, cómo afrontar la disrupción tecnológica o descendiendo a terrenos prácticos más concretos, una preocupación común sobre la calidad de las explicaciones -en ese sentido no somos los únicos que tenemos problemas con el comply or explain-.
